Par «instruction indirecte», on entend toute instruction générale ou particulière, qu'elle qu'en soit la forme, donnée par l'entreprise mère ou une autre entreprise contrôlée par l'entreprise mère, qui limite le pouvoir discrétionnaire de la société de gestion ou de l'entreprise d'investissement dans l'exercice des droits de vote, afin de servir des intérêts commerciaux propres à l'entreprise mère ou à une autre entreprise contrôlée par l'entreprise mère.
‘Indirect instruction’ means any general or particular instruction, regardless of the form, given by the parent undertaking, or another controlled undertaking of the parent undertaking, that limits the discretion of the management company or investment firm in relation to the exercise of the voting rights in order to serve specific business interests of the parent undertaking or another controlled undertaking of the parent undertaking.
