Il est de pratique de plus en plus courante en matière de commerce international que les parties se réfèrent non pas à la loi de tel ou tel Etat, mais directement aux règles d'une convention internationale telle que la Convention de Vienne du 11 avril 1980 sur la vente internationale de marchandises, aux usages du commerce international, aux principes généraux du droit, à la lex mercatoria, ou encore à des codifications privées récentes tels que les Principes UNIDROIT sur les contrats du commerce international.
It is common practice in international trade for the parties to refer not to the law of one or other state but direct to the rules of an international convention such as the Vienna Convention of 11 April 1980 on contracts for the international sale of goods, to the customs of international trade, to the general principles of law, to the lex mercatoria or to recent private codifications such as the UNIDROIT Principles of International Commercial Contracts.
