(b)the directors of the investment company must be of sufficiently good repute and be sufficiently experienced also in relation to the type of business pursued by the investment company and, to that end: the names of the directors and of every person succeeding them in office must be communicated forthwith to the competent authorities; the conduct of an investment company’s business must be decided by at least two persons meeting such conditions; and ‘directors’ shall mean those persons who, under the law or the instruments of incorporation, represent the investment company, or who effectively determine the policy of the company; and

In 1993, the government passed an act respecting the accountability of deputy ministers and chief executive officers of public bodies (1605) In 1994, the Government of Quebec took steps to make managers more accountable, in order to emphasize the allocation of financial resources, ratify framework agreements with unions, and reduce central controls, in order to truly respond to the challenges being faced and to introduce a management model.

Indeed, it is the political agenda that is driving the real objectives of this bill.

[8] Governance Body: A body or a group of persons which is embedded in a company's corporate governance structure to exercise oversight over management as a fiduciary for investors and, if required by national law, for other stakeholders such as employees, and which consists of or, at least, includes individuals other than management, such as a supervisory board, an audit committee, or a group of non-executive directors or external board members.

Of course positive measures must tend towards that goal.
