In this respect, he emphasises that the Court ‒ taking into account notably that the Land of Lower Saxony retained an interest in the capital of Volkswagen of approximately 20 % ‒ considered it appropriate to analyse the provisions on the capping of voting rights and the blocking minority together and explicitly referred to the cumulative adverse effects of the two provisions on investors’ interest in acquiring stakes in Volkswagen.
À cet égard, il souligne que la Cour – tenant compte notamment du fait que le Land de Basse-Saxe détenait une participation dans le capital de Volkswagen de l’ordre de 20 % – a jugé qu’il convenait d’analyser conjointement les dispositions relatives au plafonnement des droits de vote et à la minorité de blocage et s’est expressément référée aux effets cumulatifs néfastes des deux dispositions sur l’intérêt pour les investisseurs à acquérir des participations dans Volkswagen.
