During the course of the administrative procedure that led to the adoption of the opening decision of 2007, the Spanish authorities explained to the Commission that consistent administrative practice of the Spanish tax administration (Dirección General de Tributos, hereafter ‘DGT’) as well the jurisprudence of the Economic and Administrative Court (Tribunal Económico y Administrativo Central, hereafter ‘TEAC’) only allowed for the deduction of financial goodwill that arose from direct acquisitions of shareholdings (14).
